BAE Systems Agreements
BAE Systems has two agreements in force with Cranfield University.
1. Enabling Agreement
The Enabling Agreement (ref. ZN1314/AT2114 Amendment 3 dated 3rd February 2010) covers all terms and conditions for any work to be undertaken by Cranfield University on behalf of or in collaboration with BAE Systems, its subsidiaries and affiliates. Contracts are placed by raising an Annex to this Agreement.
To protect the company's confidentiality, anyone working on an Annex activity who is not directly employed by the University must sign a Confidentiality Agreement:
Confidentiality Agreement proforma
Key Features of the Enabling Agreement
This Enabling Agreement provides a simple and efficient way of placing any contracts, whether fully or partly funded by the company, in any field or discipline for research & technology, education & training or any other activity (such as project support, seminars, workshops, trials, disposal etc.) without protracted negotiation of contractual terms & conditions, including those relating to intellectual property, confidentiality and publication, by means of a simple Annex (see Articles 4 & 5 and Appendix A of the Enabling Agreement document) to be signed by an authorised Point of Contact (these are listed in Appendix B).
All BAE Systems companies in which BAE SYSTEMS directly or indirectly owns at least 50% of the issued share capital are automatically parties to this agreement. "Affiliate" companies in which BAE SYSTEMS directly or indirectly owns less than 50% of the issued share capital may become full parties to the agreement through an Adhesion process (see Article 31 and Appendix C). Under this mechanism MBDA is a full party to the Agreement.
Similarly subsidiary companies of Cranfield University may become full parties to the Agreement through the Adhesion process. Under this mechanism Cranfield Aerospace Ltd., Cranfield Innovative Manufacturing Ltd. and Cranfield Management Development Ltd. are full parties to the Agreement.
2. Strategic Alliance Agreement
In July 2006 the Agreement for a Strategic Alliance in Aeronautical Engineering and associated technologies (ref. ZN1197/AT2120) superseded the old Strategic Capability Partnership Agreement ZN1084(CU)/AT2102. The new agreement conditions are those of the Enabling Agreement ZN1314. This covers all terms and conditions for any work which comes under the control and monitoring of the Aeronautical Engineering Strategic Partnership Steering Board . Contracts are placed by raising an Annex to the Enabling Agreement using 'SA' instead of 'EA' as the identifier.
